Terms and Conditions for Leaders In Training Excellence (LITE Trend) Registered on School Central

 

Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the School Central platform ("the Platform") operated by School Central ("us", "we", or "our") for Leaders In Training Excellence (LITE Trend) ("the School").

 

Your access to and use of the Platform is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all users of the Platform, including the School, its staff, students, and parents.

 

By accessing or using the Platform, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Platform.

 

1. Registration and Access: The School must register for an account on the Platform to access and use the services provided by School Central. Upon successful registration, the School will be provided with a unique username and password, which must be kept confidential and secure. The School is responsible for all activities that occur under its account.

2. Intellectual Property Rights: All intellectual property rights, including but not limited to copyrights, trademarks, and patents, in the Platform and its content, are owned by or licensed to School Central. The School agrees not to copy, reproduce, distribute, or create derivative works from the content on the Platform, except as expressly permitted by School Central.

3. User Content: The School is responsible for all content, including text, images, videos, and other materials, that it uploads, submits, or otherwise makes available on the Platform ("User Content"). The School represents and warrants that it has the necessary rights to use and share the User Content and that the User Content does not infringe upon the rights of any third party.

4. Data Privacy: School Central is committed to protecting the privacy of the School's data, including personal information of students, staff, and parents. The School and School Central agree to comply with all applicable data protection laws and regulations. For more information, please review our Privacy Policy.

5. Fees and Payment: The School agrees to pay the applicable fees for using the Platform, as detailed in the pricing plan chosen during registration. The School is responsible for ensuring timely payment of all fees to avoid disruption of access to the Platform.

6. Termination: School Central reserves the right to terminate or suspend the School's access to the Platform, without prior notice or liability, if the School breaches any of these Terms or fails to pay the applicable fees. Upon termination, the School's right to use the Platform will immediately cease.

7. Disclaimer: The Platform is provided on an "as is" basis, without warranties of any kind, either express or implied, including but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement. School Central does not warrant that the Platform will be error-free, secure, or uninterrupted.

8. Limitation of Liability: In no event shall School Central, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or use, whether in an action in contract, tort (including but not limited to negligence), or otherwise, arising out of or in any way connected with the use of or inability to use the Platform.

9. Indemnification: The School agrees to indemnify, defend, and hold harmless School Central, its directors, employees, and partners from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with the School's access to or use of the Platform or any User Content.

10. Governing Law: These Terms shall be governed and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions.

11. Changes to Terms and Conditions: School Central reserves the right, at its sole discretion, to modify or replace these Terms at any time. The School will be notified of any changes and continued use of the Platform after any such changes constitutes acceptance of those changes.

12. Force Majeure: Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay is due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, or any other industrial disturbances, systemic electrical, telecommunications, or other utility failures, earthquakes, storms, or other natural disasters.

13. Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions of these Terms shall remain in full force and effect.

14. Entire Agreement: These Terms and any additional terms and conditions agreed upon between School Central and the School constitute the entire agreement between the parties concerning the use of the Platform and supersede any prior or contemporaneous agreements, communications, or understandings, whether written or oral.

16. Waiver: No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by School Central to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

17. Assignment: The School may not assign or transfer its rights and obligations under these Terms without the prior written consent of School Central. School Central may assign or transfer its rights and obligations under these Terms without restriction, provided that it gives the School reasonable notice of such assignment or transfer.

18. Relationship of the Parties: Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between School Central and the School. Neither party has any authority to bind the other or to incur any obligation on its behalf.

19. Dispute Resolution: Any disputes arising out of or in connection with these Terms or the use of the Platform shall be resolved through good faith negotiations between the parties. If the parties are unable to resolve the dispute through negotiation within thirty (30) days, the dispute shall be submitted to a mutually agreed-upon alternative dispute resolution method, such as mediation or arbitration.

20. Notices: All notices, requests, demands, and other communications required or permitted under these Terms shall be in writing and shall be deemed to have been duly given when delivered by hand, sent by email, or sent by registered or certified mail, postage prepaid, return receipt requested, to the addresses specified by the parties.

21. Indemnification: Leaders In Training Excellence (LITE Trend) agrees to indemnify, defend, and hold harmless School Central, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with the School's use of the Platform or breach of these Terms.

22. No Third-Party Beneficiaries: These Terms are for the benefit of, and shall be binding upon, the parties and their respective successors and permitted assigns. There are no third-party beneficiaries to these Terms.

23. Headings: The section headings in these Terms are for convenience only and have no legal or contractual effect.

24. Language: These Terms have been drafted in the English language, and the parties agree that the English version shall govern any interpretation or construction of these Terms. Any translations of these Terms into other languages shall be for reference purposes only and shall have no legal or contractual effect.

25. Counterparts: These Terms may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

 

By using the School Central platform and accepting these Terms and Conditions, Leaders In Training Excellence (LITE Trend) agrees to comply with all terms, conditions, and obligations set forth in this agreement. Any failure to comply with these Terms and Conditions may result in the termination of the School's access to and use of the Platform.
